A Partner with Simpson Thacher & Bartlett, LLP, A.J. Kess’ responsibilities with the firm’s Corporate Department primarily involve advising underwriters and issuers in complex capital formation matters. A.J. Kess has extensive experience in initial public offerings (IPOs) and high-yield financings in the public and private transactions.
Earning his Bachelor of Science from Brooklyn College, City University of New York, Mr. Kess was a member of the Alpha Sigma Lambda Honor Society. He subsequently earned his Juris Doctor cum laude and was admitted to the New York Bar in 1995. Over the years, A.J. Kess has advised a number of prominent clients, including The Travelers Companies, Inc., Accenture, Ltd., and L-3 Communications Holdings, Inc., on diverse corporate securities law and corporate governance related matters. In the latter area, he regularly communicates with boards of directors and related committees.
A.J. Kess’ corporate representation experience extends to working with major investment banking entities such as JPMorgan and Citigroup on securities offerings. He also engaged with Accenture in facilitating the company’s IPO and a global organizational restructuring process. In representing Ford Motor Company, he assisted in various aspects of a nearly $24 billion financing arrangement completed in late 2006.
Additionally, Mr. Kess and other lawyers at Simpson Thacher acted as special counsel to the Conference Boards Commission on Public Trust and Private Enterprise. In this capacity, he assisted in issuing “findings and recommendations” on matters such as corporate governance, executive compensation, auditing, and accounting. A.J.
