I help entrepreneurs with innovative ideas build great companies.

I am a corporate attorney that represents emerging growth companies throughout their lifecycle, from incorporation, through financing to an acquisition or IPO. I counsel entrepreneurs on the formation of their companies, equity structures, negotiations with seed and VC investors, and employment and IP matters. I also work with management of later-stage private companies and public companies on a broad range of matters including securities offerings, debt financing, corporate governance, M&A and other strategic transactions. In most cases, I act as outside general counsel to my clients.

I also represent VC funds in investment transactions and larger companies in M&A transactions. The M&A and VC transactions I have worked on have ranged in value from very small to over $10 billion. The total value of all of my transactions is well in excess of $30 billion.

The clients that I have represented operate in a broad spectrum of industries, including consumer internet, technology, information systems, life sciences/biotechnology, medical devices, financial services, clean-tech/renewable energy, and software.
