The first step to form an LLC in Florida is choosing a business name. It cannot be the same name as another LLC in Florida. It must also indicate that it is an LLC. The name must not contain words that are restricted by your state.
You do not have to go through a separate process to register your business name. Once your business is registered your name will be too.
The next step is the articles of organization. It is an article that includes information about your business such as name, address, and member names. In Florida, you file your articles of organization with the Florida Department of State: Division of Corporations.
Normally the last step to form an LLC would be to create an operating agreement. However, in the state of Florida it is not required. It is recommended to do so if you have a multi-member LLC. The operating agreement structures the finances, provides rules and regulations, and structures the organization. It also includes member’s rights and responsibilities.
