Merger and Acquisition Experience

I‘ve had a rather unique set of experiences with regard to mergers and acquisitions, having actively participated in 9 (nine) M&A transactions – from the inside. Remarkably, in every case, I’ve “survived” the transaction, having held management positions with both the predecessor and the successor. I think this speaks to my adaptability, versatility, leadership, and ability to operate in somewhat chaotic environments.

This broad set of M&A experiences gives me a comprehensive perspective on the issues of strategic investments and acquisitions including due diligence, acquisition integration, organizational restructuring, product & service rationalization and perhaps most importantly, customer relationship management. My MBA/CPA has given me the solid foundation to understand, cope with, and learn from these experiences.
My M&A background could be valuable to some in the investment community. For more background, I’ve included (below) an overview of these transactions, and my role(s) in each. Some of these transactions were long ago, and some are quite recent, but the lessons learned are relevant today.

Danray acquired by Northern Telecom for $36M in 1978: I was hired during the due diligence period, as Manager of Business Systems at Danray in Richardson. My team evaluated the issues related to converting to NT’s information technology and manufacturing systems. After the acquisition, I became Materials Manager and Industrial Engineering Manager for the new NT division, and managed the integration of Danray into the corporate structure by conversion to NT’s ERP system, culminating in a “success story” I presented to the NT Board of Directors in Montreal.

TBS International acquired by Davox Corporation for $12M in 1987: I was hired as Director of Manufacturing at TBS, and promoted to EVP and General Manager. My team managed the company through a private equity buy-out of the founders by the Columbus Dispatch. I licensed the technology for the launch of Intellicall, Inc. and sold the company to Boston-based to Davox, Inc. wher
