Scott Pomeroy's service as Chairman and Chief Executive Officer of XTI Aerospace, Inc. (Nasdaq: XTIA) ran until August 2026, closing out an engagement at the company that had begun with a single assignment: raise capital. He is a public-company chief executive, capital-markets strategist, and transaction adviser with four decades of experience, based in Littleton, Colorado, and his record spans aerospace and drones, healthcare, media, consumer products, and financial services. His focus now is advising public and soon-to-be-public companies on strategy, capital structure, market positioning, and engagement with investment bankers and investors.
The XTI relationship began in July 2022, when Scott Pomeroy joined to lead capital-raising efforts. As the scope grew, he stepped into the Interim Chief Financial Officer role, and in March 2024 he was appointed Chairman and Chief Executive Officer. Across the engagement,t he raised more than $100 million through public and private financings, and he helped move market capitalization from approximately $5 million at the outset to approximately $60 million to $70 million. He directed the company's strategic pivot and its acquisition of Drone Nerds, which brought in a scaled commercial and government drone distribution platform, and he aligned financing, acquisitions, and operations behind a clearer value-creation thesis.
The engagement had originated at Gen3 Financial Services, the advisory firm Scott Pomeroy co-founded in February 2020 and led as Chief Executive Officer through July 2022. Gen3 provided private financing, capital-markets planning, mergers-and-acquisitions support, and interim C-suite leadership to companies in aerospace, software, healthcare, media, and real estate. The XTI Aircraft mandate came out of that practice.
A 1984 graduate of the University of New Mexico, where he earned his Bachelor of Business Administration in Accounting with honors, Scott Pomeroy received his Certified Public Accountant certificate in 1985. He spent his first eight years, from 1984 to 1992, at KPMG Peat Marwick, where he advanced from auditor to Senior Manager. That training in accounting and controls is part of why boards have so often placed him in companies where the numbers, the capital structure, and the operating plan all required repair.
His first operating role came at Lewis Foods Group, a $250 million food-processing group, where Scott Pomeroy was President and Chief Financial Officer from 1993 to 2000. He negotiated acquisitions, restructured the sales, marketing, and plant operations, and secured a long-term manufacturing agreement with The Pillsbury Company. He assumed company-wide operating leadership in 1998 and oversaw the sale of the group to Diageo in 1999. He was subsequently Chief Financial Officer of Eotec Capital, LLC from 2000 to 2002, and in 2002 advised Qwest Communications on the QwestDex divestiture through CEO Partner Group, LLC, covering the financial carve-out, sale terms, and a controls review spanning more than 25 senior finance executives.
Scott Pomeroy led finance at Dex Media, Inc. (NYSE: DEX), the third-largest U.S. directory publisher, with approximately $1.6 billion in revenue. Between November 2002 and February 2005, as Senior Vice President, Finance and Treasurer, he managed more than $3 billion of high-yield offerings and more than $3 billion of bank financings, including a $1 billion sponsor dividend. He helped execute the company's $1 billion initial public offering. He became Chief Financial Officer in February 2005 and used investor and analyst conversations to clarify free-cash-flow valuation, tax-shield economics, and the applicable comparable-company framework; over 14 months, the share price rose approximately 30%. He negotiated the sale to R.H. Donnelley, which returned approximately 90% to the private equity sponsors over a three-year hold. Viewed as a whole, Dex Media's arc from divestiture out of Qwest through the 2004 IPO to the 2006 merger represented, at the time, the second-largest buyout in U.S. corporate history.
From March 2006 to January 2011, Scott Pomeroy was founding President and Chief Executive Officer of Local Insight Media and The Berry Company, a Welsh, Carson, Anderson & Stowe portfolio company that became the country's fifth-largest directory publisher, running approximately $600 million in annual revenue with 1,600 employees. He integrated six acquisitions across the United States, Puerto Rico, and the Dominican Republic, evaluated more than 150 digital companies, established four technology partnerships, and led the organization's transition from print directories to digital local-media solutions.
